TERMS OF SERVICE

Last updated: May 19, 2026

Welcome to Navvi Docs. These Terms of Service (“Terms”) govern your access to and use of the website at navvidocs.com (the “Site”) and any related services provided by Navvi Docs (“Navvi Docs,” “we,” “us,” or “our”). By accessing the Site or engaging our services, you agree to these Terms.

If you do not agree to these Terms, please do not use the Site or our services.

1. Our Services

Navvi Docs is a marine title services company. We assist clients with U.S. Coast Guard vessel documentation, state titling and registration, title and lien searches, abstracts of title, transfers of ownership, and related closing and recording services.

The specific scope, fees, and terms of any engagement will be set forth in a separate written agreement, engagement letter, or order confirmation between Navvi Docs and the client. These Terms govern use of the Site itself; the terms of any specific engagement will govern the services performed.

2. Not a Law Firm; Not Legal Advice

Navvi Docs is not a law firm, and our services do not constitute legal advice. No attorney-client relationship is formed by your use of the Site or our services. For legal questions concerning your vessel, transaction, or rights, you should consult a qualified attorney licensed in your jurisdiction. Information on the Site is provided for general informational purposes only and should not be relied upon as legal, tax, or financial advice.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of, any other party. You may not:

  • Attempt to gain unauthorized access to any portion of the Site, our systems, or any accounts or data not belonging to you
  • Use any automated means to access or scrape the Site without our written permission
  • Use the Site to transmit malicious code, harassment, spam, or unlawful content
  • Interfere with or disrupt the operation of the Site

4. Information You Provide

You represent and warrant that any information you provide to us — whether through the Site, by email, by phone, or otherwise — is accurate, complete, and current to the best of your knowledge, and that you have the authority to share that information.

We rely on the information you provide to perform our services. Inaccurate or incomplete information can affect filings, timelines, government processing, and the validity of the work we perform on your behalf. You are responsible for the accuracy of information you provide.

5. Fees and Payment

Fees for our services are quoted in advance and are payable as set forth in our engagement with you. Government and third-party fees (including those charged by the U.S. Coast Guard, state titling agencies, recording offices, and similar entities) are separate from our service fees and are passed through to you at cost unless otherwise stated. We reserve the right to require payment in advance for some or all of our services.

6. Turnaround Times; Third-Party Delays

We work diligently to perform our services efficiently. However, processing times for many filings — including U.S. Coast Guard documentation, state titling, lien recording, and similar government filings — are controlled by third-party agencies and outside our direct control. We do not guarantee specific processing or turnaround times by any government agency or third party. We are not liable for delays caused by government processing, third-party service providers, force majeure events, or factors outside our reasonable control.

7. Indemnification

You agree to indemnify, defend, and hold harmless Navvi Docs and its officers, employees, contractors, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your breach of these Terms
  • Inaccurate or incomplete information you provided to us
  • Your use of the Site or our services in violation of any law
  • Any claim by a third party arising from a transaction in which you engaged us, except to the extent caused by our gross negligence or willful misconduct

8. Disclaimer of Warranties

The Site and our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Navvi Docs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that information on the Site is complete, accurate, or current.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Navvi Docs’ total liability arising out of or relating to the Site or our services — whether in contract, tort, or otherwise — is limited to the amount of fees you paid to us for the specific service giving rise to the claim. In no event will Navvi Docs be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.

Nothing in these Terms is intended to limit any liability that cannot be limited or excluded under applicable law, including any liability arising from gross negligence, willful misconduct, fraud, or willful or knowing violations of Massachusetts General Laws Chapter 93A.

10. Intellectual Property

All content on the Site — including text, graphics, logos, photographs, and the Navvi Docs name and marks — is the property of Navvi Docs or its licensors and is protected by U.S. and international intellectual property laws. The Navvi Docs name and logo are [trademarks/registered trademarks] of Navvi Docs. You may not copy, reproduce, distribute, modify, or create derivative works from our content without our prior written permission, except as expressly permitted by these Terms.

11. Third-Party Links and Services

The Site may contain links to third-party websites or reference third-party services. We are not responsible for the content, accuracy, or practices of third-party sites or services, and inclusion of any link does not imply endorsement.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions of these Terms that by their nature should survive termination (including Sections 4, 7, 8, 9, 10, 14, and 15) will survive.

14. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Essex County, Massachusetts, and you consent to the personal jurisdiction of those courts.

This provision does not apply to the extent prohibited by the law of your state of residence.

15. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any separate written agreement governing a specific engagement, constitute the entire agreement between you and Navvi Docs regarding your use of the Site.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect any changes. Your continued use of the Site or our services after changes are posted constitutes acceptance of the updated Terms.
